Terms and conditions: The following terms and conditions (this "Agreement") is a legal agreement between Syndic Inc, and PUBLISHER. PUBLISHER and Syndic Inc may also be individually referred to herein as a "Party" and collectively as "Parties." If there is any conflict between these Terms and Conditions and the Insertion Order(s), the Insertion Order(s) shall control. Definition: In the Agreement, following words and expressions shall have following meanings: “Syndic Inc” means the Performance marketing network owned and operated by Syndic. “Publisher” also termed as "Affiliate" means the company or other person entering the Agreement with Syndic Inc for conduct of action. “Action” means lead, click, sale, registration, views and install. “Qualified Action” means valid actions are prospects who meet Syndic Inc’s screening criteria as described in the Insertion Order. In the case of any dispute between the parties as to the number of validated action, Syndic Inc’s numbers will control. Enrolment in the Affiliate Program: You must submit an Affiliate Program application from our website. You must accurately complete the application to become an affiliate (and provide us with future updates) and not use any aliases or other means to mask your true identity or contact information. After we review your application, we will notify you of your acceptance or rejection to the Affiliate Program, generally within two (2) business days. We may accept or reject your application at our sole discretion for any reason. Service: PUBLISHER will display the Advertisement and perform action described in the attached Insertion Order. "Advertisement" means the advertisement, including any copy including questions and or text ads, graphic, sound, video, programming code and/or other content that comprises the advertisement, as well as the websites to which an advertisement is linked if applicable. Syndic Inc hereby grants to PUBLISHER during the Contract Period a non-exclusive, royalty-free, worldwide right and license by all means and in any media, whether now known or hereafter discovered, to use, reproduce, distribute, publicly perform, publicly display and digitally perform such Advertisement and all its constituent parts. Validation Procedure: Syndic Inc will validate each action delivered by the PUBLISHER. Upon receipt, all validated actions will be checked for data validity (i.e. containing valid data inputs for the fields specified in the Insertion Order) and uniqueness of data (i.e. that the validated action is not present in Syndic Inc’s database for the designated Advertisement in the past 60 days). Syndic Inc reserves the right to send an auto-responder to all respondents re-confirming their request for information. Any objections from respondents (about the action, or the offer) will be raised to the PUBLISHER. PUBLISHER will be paid on a validated action. Creative Changes: Editing of Syndic Inc’s Creative is strictly prohibited, without prior written approval from Syndic Inc. Creative includes, but is not limited to, text ads, graphic ads, from and subject line, any copy associated with the campaign including survey questions and answers. Any changes to Creative, without prior written permission will result in the loss of payment of Validated action. Compliance: Syndic Inc will actively monitor PUBLISHER activity using a combination of its proprietary software and third party monitoring services. It is the obligation of PUBLISHER to prove to Syndic Inc that they are not committing fraud. Syndic Inc will hold PUBLISHER payment in ‘Pending Status’ until PUBLISHER has satisfactorily provided evidence that PUBLISHER is not defrauding the system. Syndic Inc flags accounts that: Have click-through rates that are much higher than industry averages and where solid justification is not evident; Have only click programs generating clicks with no indication by site traffic that it can sustain the clicks reported; Have shown fraudulent leads as determined by our clients or Use fake redirects, automated software, and/or fraud to generate clicks or leads. If PUBLISHER is unable to prove to Syndic Inc that PUBLISHER is not committing fraud, PUBLISHER will forfeit its entire commission for all programs and PUBLISHER’s account will be terminated. Syndic Inc reserves sole judgment in determining fraud. Remedies: In addition to any other rights and remedies available to us under this Agreement Syndic Inc reserves the right to delete any actions submitted through your Links and withhold and freeze any unpaid Commissions or charge back paid Commissions to your account if (i) Syndic Inc determines that you have violated this Agreement, (ii) Syndic Inc receives any complaints about your participation in the Affiliate Program which Syndic Inc reasonably believes to violate this Agreement or (iii) any Qualified Action is later determined to have not met the requirements set forth in this Agreement or on the Affiliate Program. Such withholding or freezing of Commissions, or charge backs for paid Commissions, shall be without regard as to whether or not such Commissions were earned as a result of such breach. In the event of a material breach of this Agreement, Syndic Inc reserves the right to disclose your identity and contact information to appropriate law enforcement or regulatory authorities or any third party that has been directly damaged by your actions. Advertising Guidelines: PUBLISHER cannot reject, cancel or remove at any time any Advertisement from the service for any reason without prior notice to Syndic Inc. PUBLISHER must notify Syndic Inc about the rejection, cancellation or removal of any Advertisement from the service immediately. Payment Clause: PUBLISHER will invoice Syndic Inc monthly at the payout rates reflected in their account on tracking platform. The invoice will reflect delivery of final validated action that are based upon numbers reported by Syndic Inc to PUBLISHER. Syndic Inc shall make all payments to PUBLISHER within 60 days of the Invoice Date. Minimum Payment Threshold: Syndic Inc will only transfer money when accruals are $100 or above. Any Invoices/dues under $100 will be pending till the cumulative accruals have reached $100 PUBLISHER Representations and Warranties: PUBLISHER represents and warrants that: (1) the recipients of all email addresses used by PUBLISHER in connection with this Agreement have manifested affirmative consent to receive commercial emails from PUBLISHER and none of the email addresses were obtained through email harvesting or dictionary attacks; (2) PUBLISHER will not fraudulently add action by fraudulent traffic generation (as determined solely by Syndic Inc, such as pre-population of forms or mechanisms not approved by Syndic Inc); (3) PUBLISHER will not attempt in any way to alter, modify, eliminate, conceal, or otherwise render inoperable or ineffective the Site tags, source codes, links, pixels, modules or other data provided by or obtained from Syndic Inc that allows Syndic Inc to measure ad performance and provide its services and (4) all of PUBLISHER’s efforts associated with this Agreement comply with the laws of United States, and any other laws of any other jurisdictions which are applicable to PUBLISHER. PUBLISHER will not engage in or promote any illegal activities of any kind in association with this Agreement. Other Obligations: PUBLISHER shall: Unless otherwise specified, NOT PROVIDE Incentivized traffic. This includes but is not limited to any spoofing, redirecting or trafficking from adult related websites in an effort to gain traffic or websites that are point, lottery, coupon or rewards based and encourage users to click on Advertisements or use Advertisements to generate revenue for users to win points, get rewards, or other any other incentive. NOT PROVIDE actions generated from content, email or websites that are not subject matter related to the category of the Advertisement represented. Such websites must be content-based (not a list of links or advertisements), be written in English or local language, receive a minimum of unique page views per month, have a top-level name and must not infringe on any personal, intellectual property or copyrights. This can be waived only by SPECIFICALLY providing the name of the proposed website to Syndic Inc. Be able to provide the name of the Website where the action was delivered. This information is only delivered to Syndic Inc upon request, but MUST be made available in case there is a dispute or problem with the action. NOT PROVIDE inappropriate content, which includes, but is not limited to, content that (i) promotes the use of alcohol, tobacco or illegal substances, nudity, sex, pornography adult-oriented content such as phone sex or escort services, expletives or inappropriate language, (ii) promotes violence or the use of illegal substances or activities such as how to build a bomb, counterfeiting money and software pirating (iii) promotes illegal or unethical activity, racism, hate, "spam", mail fraud, gambling, sweepstakes, pyramid schemes, or illegal advice (iv) is otherwise prohibited by Federal or state law; and/or (v) will bring Syndic Inc and/or its associated Advertisers negative publicity. At no time, engage in, disseminate, promote or otherwise distribute any Advertisement through the use of contextual media, specifically downloadable software (also called adware, pop-up/pop-under technologies, plug-ins, and other names as applicable). 11.1 Email Campaigns PUBLISHER further represents and warrants that with respect to email campaigns transmitted by PUBLISHER for Syndic Inc, PUBLISHER shall at all times only use the Syndic Inc email creative provided by Syndic Inc, maintain strict compliance with the Controlling the Assault on Non-Solicited Pornography and Marketing Act of 2003 (CAN-SPAM) and any amendments and modifications thereto. Spam We have a strict policy regarding unsolicited commercial electronic mail (“SPAM”) and will not tolerate any SPAM as defined by the CAN-SPAM Act (15 U.S.C. §7701 et seq.); any state laws, or any applicable international laws (by way of example, Publisher should be familiar with laws concerning SPAM, including those set forth in http://www.spamlaws.com/federal/can-spam.shtml). Should We receive complaints of SPAM sent by an Affiliate,Syndic has the right to take any and all steps reasonably necessary to investigate whether the Affiliate has improperly sent SPAM and Syndic may issue a warning or may suspend or terminate an Affiliate at any time based upon the results of investigation. Confidentiality: The terms of this Agreement are confidential and shall not be disclosed to any third party except where required by law. All information submitted by end-user customers pursuant to this Agreement is proprietary to and owned by Syndic Inc. Such customer information is confidential and may not be disclosed by Syndic Inc or PUBLISHER. In addition, PUBLISHER acknowledges that all non-public information, data and reports received from Syndic Inc hereunder or as part of the services hereunder is proprietary to and owned by Syndic Inc. (“Confidential Information”). PUBLISHER agrees not to disclose the terms of this Agreement, including the CPA value, to any third party without the express written consent of Syndic Inc, and that such constitutes Confidential Information. All Confidential Information is or may be protected by copyright, trademark, trade secret and other intellectual property law, as appropriate. PUBLISHER agrees not to reproduce, disseminate, sell, distribute or commercially exploit any proprietary or Confidential Information in any manner. These non-disclosure obligations shall survive the termination of this Agreement for a period of five (5) years. This section does not bind Syndic Inc or PUBLISHER in the event such information is required to be disclosed by operation of law. If a request is made of PUBLISHER to disclose such information, PUBLISHER must immediately inform Syndic Inc via written notice sufficiently promptly to allow Syndic Inc to seek a Protective Order prior to the time commanded to produce or disclose such Confidential Information, and PUBLISHER agrees to cooperate in whatever way Syndic Inc requests to attempt to protect that information from disclosure by operation of law. Subject to prior approval by PUBLISHER, Syndic Inc may publicly announce its contractual relationship with PUBLISHER, which includes being on a listing of Syndic Inc publishers in general corporate materials and in industry standard press releases. Limitations of Liability: In no event, shall Syndic Inc be liable for any special, indirect, incidental or consequential damages (including without limitation, for breach of contract, warranty, negligence or strict liability), or for interrupted communications, loss of use, lost business, lost data or lost profits, arising out of or in connection with this agreement. Under no circumstances shall Syndic Inc be liable to publisher or any third parties for an amount greater than the amounts paid by Syndic Inc to publisher during the prior three months. No Assignment: Neither Party shall have the right to assign or otherwise transfer its rights and obligations under this Agreement except with the prior written consent of the other Party; provided, however, that a successor in interest by merger, by operation of law, assignment, purchase or otherwise of all or substantially all the business of a Party may acquire its rights and obligations hereunder. Any prohibited assignment shall be null and void. Exclusivity: By accepting the Affiliate Terms and Conditions, affiliate agrees not to work on any action agreed through Syndic Inc, with the advertiser or any other network for 12 months upon termination of activity with Syndic Inc. Failure to adhere to these terms and conditions will result in a breach of contract. Data Protection: The collection and processing of the Publisher´s personal and/or professional data is solely for the purpose of maintaining the contractual relationship that may be established with Syndic. This purpose will be mainly of an administrative and accounting nature.Syndic will follow the principles of data processing that prevail in the data protection laws, as well as demand that said principles be observed by who operate within Syndic. These principles are: limited use; data quality and relevance; processing data limited to contractual purposes; transparency; security and confidentiality; guaranteeing the right to access, rectify, restrict, erase or to portability or any other right granted under the current legislation.Syndic will process data of the final consumers of the Advertisers, provided by the Affiliate, obtained with the consent required by the applicable legislation. The data that will be treated will be limited to facilitate the Tracking (IP addresses, cookies or any tool necessary for Tracking), necessary to be able to provide their services. Syndic will treat the data that facilitates the Tracking with the sole purpose of assigning the commissions to the Affiliates (and thus avoid any fraud within Syndic). The data used from the advertiser´s final consumers by Syndic will become anonymous, because under no circumstances Syndic will handle data of identified and/or identifiable individuals, nor obtain or process any additional information for attribution to a specific person.Syndic will not use means of data singling, nor means that serve for a direct or indirect identification of the Advertiser´s final consumers, neither will it collect nor obtain nor process data to make profiles of people, their preferences or their behaviors, nor require authentication or certification of their identity at no point in time. Therefore, Syndic will under no circumstances obtain, handle or process data related to an identified and/or identifiable individual.Termination: This Agreement shall commence on the date of our approval of your Affiliate Program application and shall continue thereafter until terminated as provided herein. You may terminate your participation in the Affiliate Program at any time by removing all Links from your Media, deleting all copies of the Links. We may terminate your participation in one or more Offers or this Agreement at any time and for any reason which we deem appropriate with or without prior notice to you by disabling the Links or providing you with a written notice. Upon termination of your participation in one or more Offers or this Agreement for any reason, you will immediately cease all use of and delete all Links, plus all Syndic or Client intellectual property, and will cease representing yourself as a Syndic or Client affiliate for such one or more Offers. All rights to validly accrued payments, causes of action and any provisions, which by their terms are intended to survive termination, shall survive any termination
